1. OVERVIEW
Viasilica (“Company,” “we,” “us,” or “our”) provides website design, development, hosting, and ongoing management services (“Services”). By engaging Viasilica, you (“Client,” “you,” or “your”) agree to these Terms and Conditions. These terms are governed by the laws of The Bahamas.
2. SERVICES PROVIDED
Viasilica designs, develops, hosts, and manages custom websites tailored to your business. Our service packages range from basic starter websites to complex e-commerce solutions. A detailed project scope, deliverables, and timeline will be confirmed in writing before work begins.
3. SITE OWNERSHIP & CLIENT ACCESS
Viasilica retains ownership and management of your website, domain, hosting infrastructure, and associated databases. You receive non-exclusive, limited access to manage content within parameters we establish. You may not transfer, export, or use your website with competing providers without written consent. This model ensures continuity, security, and optimal performance—similar to SaaS platforms.
4. INTELLECTUAL PROPERTY
All website code, design templates, frameworks, custom functionality, and underlying technology are the intellectual property of Viasilica. You receive a perpetual, non-transferable license to use the website for your business. You may not reverse-engineer, modify, or repurpose our code or templates.
5. PAYMENT TERMS
Payment is flexible and will be specified in your project quote:
• 50% deposit upon project commencement, 50% upon launch • Full payment upfront • Full payment upon completion
We accept major credit cards, PayPal, and bank transfers. Recurring monthly management fees are billed automatically on the 1st of each month and are due within 7 days. Late payments may result in service suspension after 14 days overdue.
6. SATISFACTION GUARANTEE & REVISIONS
We offer unlimited revisions before your website launches. Once live, post-launch modifications are billed hourly or included in your monthly management plan at our standard rates.
7. HOSTING & INFRASTRUCTURE
Your site is hosted on premium infrastructure managed by Viasilica. Monthly management fees include hosting, domain renewal, SSL security certificates, automated backups, and regular updates. Uptime is not guaranteed but we maintain best-effort 99% availability.
8. DATA & PRIVACY
Viasilica manages your website data, customer databases, login credentials, and backups. You consent to our use of third-party hosting and service partners. See our Privacy Policy for complete data-handling practices.
9. LIMITATION OF LIABILITY
Viasilica liability is limited to the fees paid in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost revenue or data.
10. TERMINATION
Either party may terminate services with 30 days written notice. Upon termination, Client must settle all outstanding fees. Your website and data remain the
